We work with early-stage and growth-stage technology companies, from first idea through venture financing and beyond. Many of our clients are building their businesses in the U.S. capital markets for the first time, and we act as trusted legal partners as they scale.
Our clients range from founders at the idea stage to companies that have raised multiple rounds of capital and need to clean up cap tables, restructure equity, or prepare for their next financing or transaction. We focus on early growth technology companies because that is where legal judgment, experience, and flexibility matter most.
We help founders deal with the issues that keep them up at night—hiring and equity allocation, shareholder and investor relationships, fundraising, customer and commercial negotiations, and early litigation risk management (before a dispute becomes a lawsuit). We operate as outside general counsel, providing practical, business-focused advice rather than academic legal answers.
Unlike many law firms, we are not using start-ups as a feeder into other practices.
Venture and emerging companies are the practice. We deliberately work with companies at the earliest and most formative stages and continue supporting them as they grow. Many of our clients are international companies with U.S. holding structures, typically in Delaware.
Having lived and practiced abroad for many years, we regularly bridge legal, cultural, and regulatory gaps between U.S. and non-U.S. stakeholders and counsel.
Our work includes early-stage and growth financings (SAFEs, convertible notes, seed, and Series A/B rounds), Delaware “flip” transactions, commercial and technology agreements, licensing, international transactions, strategic tax planning, and early- to mid-market M&A.
